Securities Law Disclosure
Interests in investment vehicles managed by SANTE Realty Investments, LLC and its affiliates (collectively, "SANTE"), including the SANTE Legacy Protection Fund LP and Ground Lease Income Fund LP (collectively, the "Funds"), are offered exclusively to "accredited investors" as defined in Rule 501(a) of Regulation D under the Securities Act of 1933, as amended (the "Securities Act"). Offers and sales of interests in the Funds are made in reliance on the exemption from registration provided by Rule 506(c) of Regulation D.
Interests in the Funds have not been registered under the Securities Act, or under the securities laws of any state or other jurisdiction. Such interests may not be offered, sold, pledged, or otherwise transferred except in compliance with the Securities Act, any applicable state securities laws, and the terms and conditions set forth in the applicable fund offering documents.
The Funds are not registered as investment companies under the Investment Company Act of 1940, as amended, in reliance on the exemption provided by Section 3(c)(1) or Section 3(c)(7) thereof.
No Guarantee of Returns

The target yield of 6.0% to 7.75% for the Ground Lease Income Fund LP is a target only and is not a guarantee, projection, or prediction of future performance. Actual returns may be higher or lower than the target yield and will depend on a variety of factors, including market conditions, the performance of underlying investments, interest rate movements, and other economic factors beyond SANTE's control.

Investment Risk Factors
Investments in the Funds involve significant risks that prospective investors should carefully consider before making an investment decision. These risks include, but are not limited to:
Illiquidity Risk. Interests in the Funds are illiquid and are not freely transferable. There is no public market for the interests, and none is expected to develop. Investors should be prepared to hold their investment for the full term of the applicable Fund.
Real Estate Market Risk. The value of real estate assets, including ground lease interests, is subject to fluctuations based on changes in general economic conditions, local market conditions, supply and demand for commercial real estate, interest rates, and other factors. A decline in real estate values could adversely affect the Funds' performance.
Concentration Risk. The Funds may have concentrated exposure to ground lease assets in specific geographic markets or property types. A downturn in any particular market or property sector could have a disproportionate impact on the Funds' performance.
Interest Rate Risk. Changes in interest rates may affect the value of the Funds' investments and the cost of borrowing. Rising interest rates could reduce the value of fixed-income investments and increase financing costs.
Credit Risk. The Ground Lease Income Fund LP is exposed to the credit risk of borrowers. A borrower's failure to make required payments could result in losses to the Fund, even with senior-secured loan positions and conservative loan-to-value ratios.
Ground Lease Specific Risks. Ground lease investments are subject to risks including tenant default, property damage or destruction, changes in zoning or land use regulations, environmental liabilities, and the potential for disputes regarding lease terms or renewal provisions.
Leverage Risk. The Funds may employ leverage in connection with their investments. The use of leverage magnifies both gains and losses and increases the risk of loss of invested capital.
Regulatory Risk. Changes in federal, state, or local laws, regulations, or tax policies could adversely affect the Funds' investments, operations, or tax treatment.
Key Person Risk. The Funds' investment strategy and operations are dependent on the expertise and judgment of SANTE's key personnel. The departure or incapacity of key individuals could adversely affect the Funds' performance.

SANTE Legacy Protection Fund LP
The SANTE Legacy Protection Fund LP is a private investment vehicle focused on the acquisition and management of ground lease assets. The Fund is accessible by invitation only, with significant priority given to investors personally impacted by having loved ones with special needs.
Accredited Investor status requirements apply to all prospective investors. Eligibility for investment in the Fund is determined solely by SANTE in its discretion, and SANTE reserves the right to accept or reject any subscription in whole or in part.
Every ground lease acquired by the Fund advances a mission larger than returns — funding research to cure the genetic diseases that rob children of their futures, including Rett Syndrome, Type 1 Diabetes, and Autism. A portion of the Fund's management fees and carried interest is allocated to support charitable organizations and research initiatives focused on these conditions.
RIA Co-GP Partnership Program Disclosure
SANTE offers a Co-GP equity stake joint venture program for Registered Investment Advisors ("RIAs") through which participating RIAs receive a 20% Co-GP equity stake in connection with investments made by their clients in SANTE's Funds. This arrangement is structured as a pro-rata allocation based on the RIA's client capital committed to the applicable Fund.
Material Conflict of Interest. The Co-GP equity stake arrangement constitutes a material conflict of interest that participating RIAs are required to disclose to their clients. The economic interest received by the RIA through the Co-GP structure creates an incentive for the RIA to recommend investments in SANTE's Funds over other investment opportunities. RIAs participating in the program are obligated under their fiduciary duties and applicable securities laws to disclose this conflict of interest to their clients and to ensure that any recommendation to invest in SANTE's Funds is suitable and in the best interest of the client.
RIA Regulatory Obligations. Participating RIAs are solely responsible for compliance with all applicable federal and state securities laws, including the Investment Advisers Act of 1940, ERISA (where applicable), and any state-specific regulations governing investment advisory activities. SANTE does not provide legal, compliance, or regulatory advice to participating RIAs.
No Guarantee of Allocation. Participation in the Co-GP program does not guarantee any specific level of investment allocation, return, or economic benefit. The terms of the Co-GP arrangement are set forth in the applicable partnership or operating agreement and may be modified by SANTE in its discretion, subject to the terms of such agreements.
Investment Advisor Disclosure
SANTE Realty Investments, LLC serves as the investment manager and/or general partner of the Funds. SANTE is not registered as an investment adviser with the Securities and Exchange Commission ("SEC") or any state securities regulatory authority. SANTE relies on applicable exemptions from registration, including the exemption provided under Section 203(l) of the Investment Advisers Act of 1940 for advisers solely to venture capital funds, or other applicable exemptions.
SANTE does not provide individualized investment advice to investors or prospective investors. All investment decisions are made by SANTE in its capacity as investment manager or general partner of the Funds, in accordance with the investment objectives, strategies, and restrictions set forth in the applicable Fund documents.
Investors and prospective investors are encouraged to consult with their own independent financial advisors, attorneys, and tax professionals before making any investment decision. SANTE does not and cannot guarantee the suitability of any investment for any particular investor.
Tax Disclosure
SANTE does not provide tax advice. The tax consequences of an investment in the Funds are complex and will depend on each investor's particular tax situation. Prospective investors should consult their own tax advisors regarding the federal, state, local, and foreign tax consequences of an investment in the Funds, including the applicability and effect of any tax treaties.
Investors in the Funds will generally receive Schedule K-1 tax forms reflecting their allocable share of the Fund's income, gains, losses, deductions, and credits. The timing and character of such items may differ from the timing and character of the Fund's economic returns.
The tax treatment of ground lease investments and the Funds' activities may be affected by changes in tax laws, regulations, or interpretations thereof. There can be no assurance that the current tax treatment of the Funds' investments will not be adversely affected by future legislative, regulatory, or judicial developments.
